Voltra Beta Services Addendum

This Beta Services Addendum ("Addendum") supplements and is incorporated into the agreement between Voltra and Customer governing Customer's use of the Services (the "Agreement"). Capitalized terms not defined in this Addendum have the meanings given in the Agreement.


By accessing or using Beta Services, Customer agrees to be bound by this Addendum. If there is a conflict between this Addendum and the Agreement, this Addendum will control with respect to the Beta Services.

1. Changes to These Terms

"Beta Services" means any Services, features, functionality, APIs, integrations, or other offerings that Voltra designates as "alpha," "beta," "preview," "early access," "experimental," "labs," "pilot," or similar terms, whether through the Platform interface, Documentation, or written communication to Customer.

"Beta Period" means the period during which Customer has access to a particular Beta Service, as specified by Voltra or until Voltra discontinues the Beta Service or makes it generally available.

"Beta Feedback" means any suggestions, ideas, enhancement requests, recommendations, corrections, bug reports, usage data, performance data, or other feedback provided by Customer or its Authorized Users relating to the Beta Services.

"Generally Available" or "GA" means that a Service or feature has been released for production use and is no longer designated as a Beta Service.

2. Access to Beta Services

2.1 Invitation and Enrollment

Access to Beta Services may be offered by invitation, application, or general availability to eligible customers. Voltra may impose eligibility criteria, capacity limits, or other restrictions on Beta Services participation. Voltra reserves the right to accept or reject any request to participate in Beta Services in its sole discretion.


2.2 License Grant

Subject to Customer's compliance with this Addendum and the Agreement, Voltra grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Beta Services solely for Customer's internal evaluation and testing purposes during the Beta Period.


2.3 Permitted Use

Unless Voltra expressly authorizes otherwise in writing, Customer will use Beta Services only for:

  • Evaluation and testing in non-production environments

  • Providing feedback to Voltra

  • Assessing suitability for future production use


2.4 Production Use

Customer shall not use Beta Services in production environments or for mission-critical workloads unless Voltra expressly authorizes such use in writing. If Voltra authorizes production use of a Beta Service, Customer acknowledges and accepts the heightened risks described in this Addendum.

3. Beta Service Characteristics

3.1 Nature of Beta Services

Customer acknowledges and agrees that Beta Services:

  • Are provided for evaluation and testing purposes

  • May contain bugs, errors, defects, or harmful components

  • May not function as intended or as described

  • May be incomplete, inaccurate, or unreliable

  • May cause data loss, corruption, or system failures

  • May change significantly or be discontinued at any time

  • Are not subject to the same quality assurance as Generally Available Services


3.2 No Reliance

Customer shall not rely on Beta Services for any critical business functions. Customer is solely responsible for maintaining backups, implementing redundancy, and ensuring business continuity independent of Beta Services.


3.3 Changes and Discontinuation

Voltra may, in its sole discretion and without liability to Customer:

  • Modify, suspend, or discontinue any Beta Service at any time without prior notice

  • Change the features, functionality, or specifications of any Beta Service

  • Limit or terminate Customer's access to any Beta Service

  • Decide not to make any Beta Service Generally Available

  • Change pricing, terms, or conditions for any Beta Service upon or before general availability


3.4 No Obligation to Release

Voltra has no obligation to make any Beta Service Generally Available. Customer acknowledges that Beta Services may never be released, may be released in substantially different form, or may be released under different terms and pricing.

4. Service Levels and Support

4.1 No SLA

BETA SERVICES ARE NOT COVERED BY ANY SERVICE LEVEL AGREEMENT. Any uptime commitments, performance guarantees, availability targets, or service credits in the Agreement or any SLA do not apply to Beta Services. Voltra makes no commitment regarding the availability, performance, or reliability of Beta Services.


4.2 Support

Unless otherwise specified in writing:

  • Beta Services are provided without technical support

  • Voltra may, but is not obligated to, provide community forums, documentation, or limited support for Beta Services

  • Response times and resolution commitments in any support agreement do not apply to Beta Services

  • Voltra may prioritize support for Generally Available Services over Beta Services


4.3 Documentation

Documentation for Beta Services may be incomplete, inaccurate, or unavailable. Voltra will use reasonable efforts to provide basic documentation but makes no commitment regarding its accuracy or completeness.

5. Fees

5.1 Beta Period Pricing

Unless otherwise specified by Voltra:

  • Beta Services are provided at no additional charge during the Beta Period

  • Voltra may offer Beta Services at reduced or promotional pricing


5.2 Post-Beta Pricing

Upon general availability, Beta Services may be subject to fees. Voltra will provide reasonable notice of pricing before any Beta Service becomes a paid offering. Customer has no obligation to continue using a Beta Service after it becomes Generally Available, and Voltra has no obligation to offer any particular pricing to Beta participants.


5.3 No Refunds

To the extent any fees are charged for Beta Services, such fees are non-refundable regardless of whether the Beta Service is discontinued, modified, or fails to meet Customer's expectations.

6. Data and Privacy

6.1 Beta Data

Customer acknowledges that data processed through Beta Services ("Beta Data") may be subject to:

  • Loss, corruption, or unauthorized access due to Beta Service defects

  • Different processing, storage, or retention practices than Generally Available Services

  • Use by Voltra for debugging, analysis, and improvement of the Beta Services


6.2 Data Backup

Customer is solely responsible for maintaining backups of any data used with Beta Services. Voltra strongly recommends that Customer use only test data or copies of production data when evaluating Beta Services.


6.3 Data Handling

Unless otherwise specified:

  • Beta Data is treated as Customer Data under the Agreement

  • The Data Processing Addendum applies to personal data processed through Beta Services

  • Voltra may access and analyze Beta Data to improve the Beta Services, subject to confidentiality obligations


6.4 Data Migration

Voltra does not guarantee that Beta Data will be migrated or preserved when a Beta Service becomes Generally Available. Customer should not assume continuity of data between Beta and GA versions.


6.5 Data Isolation Limitations

Customers who have elected Data Isolation or similar enterprise data controls acknowledge that such controls may not be fully implemented for Beta Services. Voltra will use reasonable efforts to apply Customer's data preferences to Beta Services but cannot guarantee equivalent data handling during the Beta Period.

7. Feedback and Intellectual Property

7.1 Feedback License

Customer grants Voltra a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, create derivative works from, distribute, publicly display, publicly perform, and otherwise exploit Beta Feedback for any purpose, without attribution, compensation, or obligation to Customer.


7.2 No Compensation

Customer will not receive any compensation, royalties, or credit for Beta Feedback, even if Voltra incorporates such Feedback into the Services or other Voltra products.


7.3 Usage Data

Voltra may collect and analyze usage data, performance metrics, error logs, and telemetry from Customer's use of Beta Services. Such data may be used to improve the Beta Services and other Voltra offerings, and Voltra may retain such data after the Beta Period ends.


7.4 Voltra IP

All Beta Services, including any modifications, improvements, or derivative works, are and will remain the exclusive property of Voltra. Customer acquires no ownership rights in Beta Services by virtue of participation in any beta program.

8. Confidentiality

8.1 Beta Services as Confidential Information

Unless Voltra publicly announces a Beta Service, the existence, features, functionality, and specifications of Beta Services are Voltra's Confidential Information. Customer will not disclose information about unannounced Beta Services to any third party without Voltra's prior written consent.


8.2 Permitted Disclosures

Customer may disclose the existence of publicly announced Beta Services and may share feedback with Voltra through designated channels. Customer may discuss Beta Services with Voltra personnel and other authorized beta participants in Voltra-provided forums.


8.3 Publicity

Customer will not issue any press release, blog post, social media post, or other public statement about Customer's participation in a Beta program or Customer's use of Beta Services without Voltra's prior written consent.


8.4 Survival

Confidentiality obligations regarding Beta Services survive termination of this Addendum and the Agreement for a period of three (3) years, or until Voltra publicly releases the applicable information, whichever occurs first.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BETA SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." VOLTRA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT

  • WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE

  • WARRANTIES THAT BETA SERVICES WILL MEET CUSTOMER'S REQUIREMENTS OR EXPECTATIONS

  • WARRANTIES THAT BETA SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE

  • WARRANTIES THAT DEFECTS WILL BE CORRECTED

  • WARRANTIES THAT BETA SERVICES WILL BE COMPATIBLE WITH ANY OTHER SOFTWARE, SYSTEMS, OR SERVICES

  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA OR INFORMATION OBTAINED THROUGH BETA SERVICES


THE DISCLAIMERS IN THIS SECTION 9 APPLY IN ADDITION TO, AND NOT IN LIEU OF, ANY DISCLAIMERS IN THE AGREEMENT. TO THE EXTENT THERE IS ANY CONFLICT, THE BROADER DISCLAIMER SHALL APPLY TO BETA SERVICES.

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VOLTRA OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO BETA SERVICES, INCLUDING WITHOUT LIMITATION:

  • LOSS OF PROFITS, REVENUE, GOODWILL, OR ANTICIPATED SAVINGS

  • LOSS OF DATA OR DATA CORRUPTION

  • BUSINESS INTERRUPTION OR LOSS OF BUSINESS OPPORTUNITY

  • COST OF PROCUREMENT OF SUBSTITUTE SERVICES

  • PERSONAL INJURY OR PROPERTY DAMAGE

WHETHER OR NOT VOLTRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).


10.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOLTRA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO BETA SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE FEES PAID BY CUSTOMER FOR THE SPECIFIC BETA SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).


10.3 Basis of the Bargain

CUSTOMER ACKNOWLEDGES THAT VOLTRA HAS OFFERED THE BETA SERVICES, SET ITS PRICES (IF ANY), AND ENTERED INTO THIS ADDENDUM IN RELIANCE UPON THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH HEREIN, WHICH FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.


10.4 Relationship to Agreement

The limitations of liability in this Section 10 apply specifically to Beta Services and are in addition to, not in lieu of, the limitations of liability in the Agreement. To the extent there is any conflict regarding liability for Beta Services, the more protective limitation (from Voltra's perspective) shall apply.

11. Indemnification

11. Indemnification

11.1 Customer Indemnification

Customer will defend, indemnify, and hold harmless Voltra from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Customer's use of Beta Services in production environments without written authorization

  • Customer's failure to maintain adequate backups of Beta Data

  • Customer's disclosure of confidential Beta Service information in violation of Section 8

  • Any claims by Customer's End Users arising from Customer's use of Beta Services


11.2 No Voltra IP Indemnification for Beta Services

NOTWITHSTANDING ANY PROVISION IN THE AGREEMENT TO THE CONTRARY, VOLTRA'S INDEMNIFICATION OBLIGATIONS FOR INTELLECTUAL PROPERTY CLAIMS (IF ANY) DO NOT APPLY TO BETA SERVICES. Customer assumes all risk of intellectual property claims arising from use of Beta Services.

12. Term and Termination

2.1 Beta Period

The Beta Period for each Beta Service begins when Customer first accesses the Beta Service and ends upon the earliest of:

  • The date specified by Voltra for that Beta Service

  • Voltra's discontinuation of the Beta Service

  • The Beta Service becoming Generally Available

  • Termination by either party under this Section 12


12.2 Termination by Voltra

Voltra may terminate Customer's access to any or all Beta Services at any time, for any reason or no reason, with or without notice, and without liability to Customer.


12.3 Termination by Customer

Customer may stop using any Beta Service at any time by disabling the Beta Service in Customer's account settings or by providing written notice to Voltra.


12.4 Effect of Termination

Upon termination of access to a Beta Service:

  • Customer's right to access and use the Beta Service immediately terminates

  • Customer must cease all use of the Beta Service and delete any Beta Service materials in Customer's possession

  • Voltra may delete Beta Data associated with the terminated Beta Service

  • Sections 7 (Feedback and Intellectual Property), 8 (Confidentiality), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), and this Section 12.4 survive termination


12.5 Transition to General Availability

If a Beta Service becomes Generally Available:

  • This Addendum ceases to apply to that Service upon GA release

  • The Service becomes subject to the terms of the Agreement and any applicable service-specific terms

  • Voltra will use reasonable efforts to notify Customer of GA release and any material changes to terms or pricing

  • Customer may need to accept updated terms or migrate to the GA version

13. General Provisions

13.1 Entire Agreement

This Addendum, together with the Agreement, constitutes the entire agreement between the parties regarding Beta Services and supersedes all prior or contemporaneous communications regarding Beta Services.


13.2 Amendments

Voltra may modify this Addendum at any time by posting the revised version to its website or notifying Customer through the Platform. Continued use of Beta Services after such modification constitutes acceptance of the modified terms.


13.3 Severability

If any provision of this Addendum is found unenforceable, the remaining provisions will continue in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.


13.4 Governing Law

This Addendum is governed by the same law that governs the Agreement.


13.5 Order of Precedence

In the event of conflict between this Addendum and other documents, the following order of precedence applies (highest to lowest):

  1. Specific written terms for a particular Beta Service

  2. This Beta Services Addendum

  3. The Agreement (including any Order Forms)


13.6 No Waiver

Voltra's failure to enforce any provision of this Addendum does not constitute a waiver of that provision.


13.7 Assignment

Customer may not assign its rights under this Addendum without Voltra's prior written consent. Voltra may assign this Addendum in connection with a merger, acquisition, or sale of assets.
